Generally, I only set up reciprocal links with directories having significantly better alexa ratings than the site I want listed. If its no recip I always submit, can't see a reason not to.

As far as I am aware you can't get penalised for incoming links. So I think its a mistake to dump "directories" into one basket. Google is constantly changing the way they do things and its the spam they are after. This is a question of keeping your nose clean and of trying to steer clear of dodgy sites.
